Jepsi Seller Agreement
The terms for creating, operating and selling digital products through a Jepsi store.
You remain the owner of your work and the supplier to your buyers. Jepsi provides the marketplace and supporting technology.
Parties and acceptance
This Seller Agreement is a legal agreement between HANSIVAR.NO BENDIKSEN, Norwegian organisation number 983 987 532, operating the Jepsi marketplace (“Jepsi”, “we”, “us”), and the person or entity that creates or operates a store (“Seller”, “you”).
By creating a store, publishing a product or continuing to use seller services after this Agreement takes effect, you confirm that you have read, understood and accepted it. If you act for an organisation, you confirm that you have authority to bind that organisation.
This Agreement is supplemented by Jepsi’s Website Terms, Purchase and Sale Agreement, Refund and Return Policy and Privacy Policy. Mandatory law prevails if these terms conflict with rights that cannot be waived.
Eligibility and account information
You must be at least 18 years old and legally able to enter into this Agreement. Companies, associations and other organisations must be validly established and represented by an authorised person.
You must provide complete, current and truthful identity, contact, tax and payment information. You must keep your login details secure and are responsible for activity carried out through your account. Notify Jepsi immediately of suspected unauthorised access.
Jepsi and its payment providers may require identity, business, ownership, bank or tax documentation before a store is activated or payouts are released. Failure to provide or update required information may result in restricted sales or payouts.
Jepsi’s role as marketplace
Jepsi provides technology that allows independent sellers to list and supply digital products to buyers. Unless a listing or order confirmation expressly states otherwise, the Seller shown on the product page and order confirmation is the supplier and contracting party for the product. Jepsi is not the creator, owner or seller of third-party products.
Jepsi may facilitate checkout, payment administration, digital delivery, communications, reviews, refunds and dispute handling. These services do not transfer the Seller’s legal responsibilities to Jepsi.
Digital products and licences
Jepsi is a digital-only marketplace. You may list original digital content, software, plugins, templates, graphics, fonts, audio, video, ebooks, courses, presets, 3D files and similar products that can be delivered electronically. Physical products, shipping charges and listings requiring physical fulfilment are not permitted.
Each listing must clearly state what the buyer receives, the file type, licence terms, usage limits, system requirements, compatibility, material restrictions, update period and support offered. The licence shown before purchase forms part of the contract with the buyer.
Seller responsibilities
You are responsible for your store, listings, products, customer support and legal compliance. You must:
- describe products accurately and avoid misleading claims or manipulated reviews;
- keep files safe, functional, accessible and free from malicious code;
- provide promised updates, licences and support;
- respond to buyers and legitimate complaints within a reasonable time;
- display accurate seller identity and contact information where required;
- comply with consumer, marketing, accessibility, sanctions, export-control and other applicable laws; and
- retain records needed to document sales, licences, consents and tax obligations.
Prohibited products and conduct
You must not upload, market or supply content that is illegal, fraudulent, deceptive, harmful, abusive or unsafe. Prohibited content includes:
- content that infringes copyright, trade marks, privacy, publicity or other rights;
- malware, spyware, credential theft, destructive code or tools primarily intended for unauthorised access;
- stolen, pirated, counterfeit or unlawfully resold files, accounts, keys or licences;
- sexual exploitation material, non-consensual intimate content or content exploiting minors;
- hate content, credible threats, unlawful discrimination or instructions for serious wrongdoing;
- products that violate sanctions, export controls or applicable law; and
- spam, review manipulation, payment circumvention or attempts to interfere with Jepsi’s security or operation.
Jepsi may reject or remove content that creates legal, security or material reputational risk, even if it is not specifically listed above.
Intellectual property
You retain ownership of your intellectual property. You grant Jepsi a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, display, distribute previews of and market your store and products only as reasonably necessary to operate, secure and promote the marketplace. This licence ends when the relevant content is removed, except for cached copies, completed transactions, legal records and materials already used in active campaigns for a reasonable wind-down period.
You warrant that you own or have all rights required to upload, licence and sell each product and every element included in it. You must provide evidence of those rights on request. Jepsi may act on valid infringement notices and may share relevant notices with you.
Consumer rights, delivery and refunds
You must honour mandatory consumer rights and the Jepsi Refund and Return Policy. For digital content, a buyer’s withdrawal right may be lost when delivery begins only if the legally required express consent, acknowledgement and confirmation have been obtained. You must not state that all digital sales are unconditionally final.
If a product is missing, inaccessible, corrupted, materially not as described or otherwise non-conforming, you must provide correction, replacement, restored access, price reduction or refund as required by law. Jepsi may facilitate or process refunds and may deduct refunded amounts, chargebacks and related costs from your balance or future payouts.
Prices, fees and subscriptions
You set your product prices, subject to supported currencies, minimums and applicable law. Prices and mandatory charges shown to buyers must be clear and accurate. You may not add undisclosed charges after an order is placed.
Jepsi may charge subscription fees, commissions or other seller fees shown in the current pricing information or accepted during registration. Third-party payment providers may charge separate processing, currency-conversion, dispute or payout fees. Jepsi will give advance notice of fee changes where required by law. Fees already incurred are non-refundable unless stated otherwise or required by law.
Payments, payouts and reserves
Payments and payouts may be provided by Stripe or another regulated payment provider. Your use of payment services is also subject to that provider’s terms, verification and availability. You authorise Jepsi and the payment provider to collect buyer payments, deduct applicable fees, refunds, taxes, disputes and other amounts due, and transfer the remaining balance to your approved payout account.
Payouts may be delayed, withheld or reserved where reasonably necessary to manage refunds, chargebacks, fraud, legal obligations, negative balances or security risk. We will provide information about a restriction where legally permitted. You remain responsible for negative balances and amounts properly refunded to buyers.
Taxes and platform reporting
You are responsible for your income taxes, registrations, records and other seller obligations, except to the extent Jepsi or a payment provider is legally required to calculate, collect, report or remit an amount.
For VAT and similar transaction taxes, legislation may treat an electronic marketplace as the supplier or tax collector even where the Seller remains the contracting supplier under private law. Where such rules apply, you authorise Jepsi to determine the relevant treatment, collect tax from the Buyer, issue or facilitate required documentation, deduct or adjust amounts and remit tax to the competent authority. This allocation is determined by law and cannot be changed merely by describing Jepsi as an intermediary.
Jepsi may collect, verify, retain and report seller identity, tax residence, taxpayer identification, transaction and payout information where required under Norwegian DPI rules, DAC7 or similar reporting regimes. You must provide accurate documentation and promptly report changes.
Ranking, promotion and marketplace access
Search and catalogue placement may be influenced by relevance to the search or category, listing quality and completeness, product availability, recency, sales and customer engagement, ratings, compliance history, manual curation and clearly identified paid promotion. The relative importance of these factors may vary by feature, query and marketplace needs. Payment does not guarantee sales or a particular position.
Jepsi may market products through Jepsi-owned channels, search engines, social media, email, affiliates or advertising. Unless separately agreed, you retain control of your product price and intellectual property.
Data access and privacy
You may access order and customer data made available through your dashboard where needed to fulfil orders, provide support and meet legal duties. You may use personal data only for those purposes and in accordance with data-protection law. You must not add buyers to marketing lists without a lawful basis.
After termination, dashboard access may end. Jepsi may retain transaction, consent, tax, security and dispute records for legal, accounting and fraud-prevention purposes. Personal data is otherwise handled under the Jepsi Privacy Policy.
Listing restrictions, suspension and termination
Jepsi may restrict visibility, remove a listing, delay a payout or suspend a store where reasonably necessary because of suspected illegality, infringement, fraud, security risk, harmful content, misleading information, repeated buyer complaints, payment risk, missing verification, non-payment or breach of this Agreement.
Where applicable, Jepsi will give the Seller a statement of reasons on a durable medium before or when a restriction or suspension takes effect. For termination of all services to a professional seller, Jepsi will ordinarily provide at least 30 days’ notice and reasons where required by the EU Platform-to-Business Regulation. Advance notice may not be given where immediate action is required by law, urgent security or fraud risk, serious harm, or repeated breach.
You may ask for review by emailing contact@jepsi.no with the store name, affected listing or decision and relevant evidence. If a decision is reversed, access will be restored without undue delay where technically possible.
Term, cancellation and changes
This Agreement begins when you accept it or open a store and continues until terminated. You may close your store through available account tools or by contacting Jepsi. Amounts already due, open orders, refunds, disputes and provisions intended to survive termination remain enforceable.
Jepsi may update this Agreement for legal, security, operational or commercial reasons. Professional sellers will receive notice on a durable medium at least 15 days before a material change takes effect where required by law, with a longer period where reasonable technical or commercial adaptation is needed. Shorter or immediate changes may apply when required by law or needed to address an unforeseen and imminent security, fraud or safety risk. Continued use after the effective date constitutes acceptance; you may terminate before then.
Warranties, liability and indemnity
Jepsi will provide the marketplace with reasonable care but does not guarantee uninterrupted availability, sales volume, search position, buyer conduct or continued availability of third-party services.
To the extent permitted by law, Jepsi is not liable for indirect loss, lost profit, lost opportunity or loss caused by a Seller’s product, listing, licence, tax treatment or legal breach. Jepsi’s aggregate liability arising from the seller service will not exceed the fees paid by the Seller to Jepsi during the 12 months preceding the event giving rise to the claim.
The exclusions and cap do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of data-protection duties where liability cannot be limited, or any other liability that cannot legally be excluded or limited.
You will indemnify Jepsi against substantiated third-party claims, losses and reasonable costs arising from your products, infringement, unlawful conduct, tax obligations or material breach of this Agreement, to the extent caused by you and permitted by law. Jepsi must notify you within a reasonable time and take reasonable steps to limit recoverable loss.
Events outside reasonable control
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including major network or payment outages, natural disasters, war, government action, labour disputes or widespread cyber incidents. The affected party must take reasonable steps to reduce the impact. Either party may terminate if the disruption makes continued performance unreasonable for a prolonged period.
Governing law and disputes
This Agreement is governed by Norwegian law, without preventing the application of mandatory rules that cannot be excluded. The parties should first try to resolve disputes in good faith. If no solution is reached, disputes may be brought before the competent Norwegian courts, subject to mandatory jurisdiction and venue rules.
